Terms of Service

1. Agreement and eligibility

These Terms of Service (“Terms”) govern your use of the Vesper application for iPhone, iPad, and Mac (App Store name: Vesper: Private AI Study), this informational website, and related features (collectively, the “Service”).

Downloading, purchasing, accessing, or using the Service means you accept these Terms and the Privacy Policy. If you do not agree, do not use the Service.

You must be legally capable of entering a binding agreement where you live. Otherwise, a parent or legal guardian must review and accept the Terms on your behalf and supervise use. If you use Vesper for an organization, you represent that you have authority to bind it; “you” then includes both you and that organization.

2. Publisher

The Service is provided by JTR Labs LLC (“JTR Labs,” “we,” “us,” or “our”), United States. Contact: [email protected].

Vesper is an independent educational product. It is not sponsored by, endorsed by, or affiliated with Apple, any school, testing body, or publisher of the materials you import.

3. What Vesper does

Vesper is a local-first educational notebook. It imports supported PDFs, notes, slide photos, and lecture audio that you select; extracts, recognizes, or transcribes text on device; organizes course material; generates source-grounded study content on supported devices; schedules reviews; and tracks learning progress.

The architecture requires no Vesper account and uses no JTR Labs cloud service to process your documents. Imported files, transcripts, extracted text, study history, and generated assets are intended to remain on your device, subject to device settings, Apple system services, user-selected Files providers, and system backups.

The Service is a study aid—not a school, instructor, tutor of record, testing authority, accreditation provider, or guarantee of any academic result. It does not provide legal, medical, financial, mental-health, or other professional advice.

4. App license, website use, and ownership

Apps distributed through the App Store are licensed, not sold. Unless a custom end-user license is supplied, your license to the App is governed by Apple’s Standard Licensed Application End User License Agreement and App Store Usage Rules. These Terms supplement that license for product features, content, and services.

Subject to those rules and these Terms, you may use Vesper personally on Apple-branded products you own or control. The software, interface, original artwork, branding, website, and publisher-provided documentation are owned by JTR Labs LLC or its licensors and protected by intellectual-property laws.

Except where applicable law expressly permits it, you may not sell, sublicense, rent, lease, distribute, commercially exploit, reverse engineer, decompile, derive source code from, remove legal notices from, or bypass technical, subscription, security, import, or usage restrictions in the Service. You may not systematically extract its interface or content to build or train a substantially competing product.

5. Your materials and generated study content

“User Materials” are documents, photos, recordings, transcripts, course names, exam information, answers, and other content you provide. “Study Content” includes questions, explanations, citations, flashcards, guides, summaries, outlines, comparisons, recommendations, and similar material generated or organized from User Materials.

You retain the rights you have in User Materials. JTR Labs does not claim ownership of them or a general right to host, publish, sell, or train on their contents. You represent that you own your materials or have permission to copy, process, and use them. Importing a file does not create permission you do not already have.

You are responsible for complying with copyright, confidentiality, privacy, license, school, employer, recording-consent, and contractual restrictions. Vesper does not bypass PDF passwords, encryption, or copying restrictions, and you must not use it to defeat those protections. You must have authority to record a lecture where you use the microphone.

As between you and JTR Labs, we do not claim ownership of Study Content created for you. AI-generated material may not qualify for intellectual-property protection, may resemble output created for others, and may reflect protected content in your source. No promise is made that it is unique, copyrightable, non-infringing, or suitable for publication or commercial use.

Because materials remain local, we generally cannot inspect, moderate, recover, export, or remotely delete them. Keep the original documents and backups you need.

6. AI-generated content and source grounding

Supported features use Apple’s on-device Foundation Models and Vision frameworks. On supported iOS 27 devices, page-aware answers can also provide up to two locally rendered PDF pages to a fresh on-device session. Optional Mac companion drafts cite the same local index and never upload PDFs. Vesper applies deterministic structure, evidence-ID, source-quote, duplicate, and answer-leakage checks before accepting a generated question. A separate validation pass supplements those checks.

Visual context is supplementary. A factual answer still requires a verified quote in canonical extracted or OCR-recognized text. Temporary page images are stored locally only for the request and then removed. Voice briefings use Apple’s on-device speech synthesizer and do not send audio off the device.

These safeguards reduce unsupported output; they do not eliminate it. Models, OCR, and speech recognition can produce incorrect, incomplete, misleading, biased, ambiguous, or inconsistent results. A real citation can still be misinterpreted.

You agree to verify important questions, answers, explanations, citations, and grading against the original source; use your own judgment; consult an instructor or qualified professional where appropriate; and avoid relying on generated material as the sole basis for an exam submission, professional decision, or safety-critical action.

The Service may refuse a request, return fewer questions, or mark evidence insufficient. That conservative behavior is an intended safety feature, not a service defect. Read the AI Transparency Note for the complete generation and validation boundary.

7. Academic integrity

You are responsible for the rules of your school, instructor, testing body, employer, and applicable honor code. Vesper is intended to support learning and review—not to impersonate you or complete prohibited work on your behalf.

You may not use the Service to cheat on a closed-book or proctored assessment, submit generated content as your own where disclosure is required, evade plagiarism or AI-use rules, obtain unauthorized examination material, falsify performance, or facilitate another person’s academic misconduct.

The Service does not guarantee a grade, score, admission result, certification, mastery level, or learning outcome.

8. Free and Pro features

The free tier includes import and extractive studio, flashcards, streaks, mastery, and review of existing material, with up to two active courses and up to 50 newly accepted Apple Intelligence quiz questions per UTC calendar month, per installation. A question counts only after it passes acceptance checks and is saved. Failed requests, rejected drafts, and extractive or Mac-companion generation that does not use Apple Intelligence do not consume that quota.

Limits are local per installation because Vesper has no account or cloud quota service. Reinstalling, erasing a device, restoring a device, or deleting App data can reset local counters. You may not manipulate device or App state primarily to evade a limit.

An active Pro subscription removes commercial course and accepted-question limits and unlocks Ask This Course, timed practice exams, extra courses, advanced guides, and adaptive training, as described on the App Store purchase screen. Technical limits still apply, including storage, evidence quality, model context, language, operating-system, and Apple Intelligence availability.

After Pro expires, locally created courses, imported files, accepted questions, and existing learning history remain accessible where technically possible. New premium creation and premium modes become unavailable until entitlement is restored.

Intended U.S. prices are $7.99 per month and $49.99 per year. Localized price, billing period, trial terms, family sharing, and included features shown before Apple confirms a purchase control that transaction. Plan packaging may change prospectively. Nothing on this Site is itself a purchase offer.

9. Pro subscriptions and billing

Purchase and automatic renewal

Vesper Pro is offered as monthly and yearly auto-renewable subscriptions through Apple’s In-App Purchase system. Apple charges your Apple Account at confirmation. Unless canceled at least 24 hours before the end of the current period, an auto-renewable subscription renews for the displayed period and your Apple Account is charged within 24 hours prior to the end of that period under Apple’s applicable rules.

Cancellation

You can manage or cancel an Apple-billed subscription through the App’s system link or in Settings by choosing your name, Subscriptions, and Vesper. Cancellation ordinarily stops a future renewal and takes effect after the current paid period. Deleting the App does not cancel a subscription. See Apple’s current subscription cancellation instructions.

Refunds

Canceling does not itself create a refund. App Store refund requests go to Apple, and Apple determines eligibility under its policies and applicable law. Requests can be made through reportaproblem.apple.com. Consumer rights that cannot be waived remain unaffected.

Price changes, billing problems, and entitlement changes

Apple provides required price-change notices and obtains consent when applicable. A failed payment, expired grace period, refund, revocation, storefront restriction, or other verified status can suspend or end Pro access. Existing local content remains subject to Section 8.

Restore Purchases

Restore Purchases can restore an eligible entitlement associated with the same Apple Account, based on Apple’s verified transaction history and product availability. It cannot restore locally deleted files or study history because Vesper does not keep them in an account.

10. Local storage, backups, and deletion

The App stores managed source copies, audio, transcripts, and structured data inside protected local App storage. Depending on your settings, that information may participate in encrypted Apple system backups.

You are responsible for maintaining original sources and independent backups you need. JTR Labs does not guarantee that local data will survive device loss, repair, corruption, operating-system failure, App deletion, migration, restoration, or unsupported software changes, and cannot ordinarily recover lost local content.

Deleting a document, course, or all App data is designed to remove the corresponding managed files and related records and may be irreversible. Earlier copies can remain temporarily in backups controlled by Apple and can reappear if an older backup is restored.

Deleting local data does not cancel Pro. Canceling Pro does not delete local data. These are separate actions.

11. Acceptable use

You may not use the Service to:

• violate law, contract, court order, copyright, confidentiality, privacy, recording-consent rules, or another person’s rights;
• import material you are not authorized to possess or process;
• facilitate threats, harassment, exploitation, fraud, malware, discrimination, or unlawful content;
• bypass document protections, subscriptions, quotas, entitlements, or security controls;
• interfere with the App, Apple services, another device, or another person’s information;
• intentionally exploit document parsing, OCR, model, file, database, or storage behavior;
• falsify entitlement, progression, achievement, or learning records;
• automatically extract or reproduce substantial portions of the App or Site; or
• use the Service in a safety-critical system or as a substitute for qualified professional judgment.

You are responsible for securing your device and reviewing any material before sharing it.

12. Device, operating-system, and model availability

The current Vesper build requires iOS or iPadOS 27. Generative Apple Intelligence features additionally require compatible hardware, an installed model, sufficient storage and memory, supported language, and compatible regional and system settings. Page-aware answers also require the installed model to report vision capability. Mac companion drafts require a compatible Mac with sufficient memory and any optional local weights you install.

Apple controls iOS, iPadOS, macOS, Vision, PDFKit, Foundation Models, StoreKit, Apple Intelligence, App Store services, and related technology, and may change or discontinue them. Features can be unavailable, slower, or behave differently across devices and versions.

Where generation is unavailable, supported local importing, viewing, keyword search, extractive studio, cached content, and deterministic review can remain available. We do not promise a cloud-model fallback or uninterrupted access to every feature.

13. Apple and other third parties

Your use of Apple services is governed by Apple’s terms, including the Apple Media Services Terms, Standard EULA, privacy notices, and your Apple Account and payment arrangements. Apple separately processes App Store downloads, purchases, refunds, backups, and diagnostics you choose to share.

Files providers, share-sheet destinations, and external sites linked from the Service operate under their own terms. JTR Labs is not responsible for their availability, security, accuracy, or conduct. A link does not mean we endorse all practices of the third party.

Apple, Apple Intelligence, App Store, iPhone, iPad, Mac, iOS, iPadOS, and macOS are trademarks of Apple Inc. Vesper is not sponsored by, endorsed by, or affiliated with Apple.

14. Additional App Store terms

If you obtained the App from the Apple App Store, the following also applies:

• These Terms are between you and JTR Labs LLC only, not Apple. Apple is not responsible for the App or its content.
• Your license is a non-transferable license to use the App on Apple-branded products you own or control, as permitted by the Usage Rules in the Apple Media Services Terms.
• Apple has no obligation to furnish maintenance or support for the App. JTR Labs is responsible for support as described on the Support page.
• To the maximum extent permitted by law, Apple will have no warranty obligation whatsoever with respect to the App. To the extent any warranty cannot be disclaimed, Apple’s sole warranty obligation is to refund the purchase price of the App (if any) upon request; any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to any warranty are JTR Labs’s responsibility.
• Apple is not responsible for addressing claims relating to the App, including product-liability claims, any claim that the App fails to conform to legal or regulatory requirements, and claims arising under consumer protection, privacy, or similar legislation.
• In the event of any third-party claim that the App or your possession and use of the App infringes that party’s intellectual-property rights, JTR Labs, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of that claim to the extent required by these Terms.
• You represent and warrant that you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
• Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

15. Updates, changes, suspension, and termination

We may provide bug fixes, security updates, feature changes, or required compatibility updates. Preview, beta, and evaluation features can be incomplete, change without notice, contain additional errors, or be discontinued. Do not rely on them for irreplaceable work.

Reasonable efforts will be made to preserve access to existing local content, but parts of the Service can change or end for security, legal compliance, Apple platform requirements, abuse prevention, or circumstances outside our reasonable control.

You can stop use at any time. You must separately cancel any Apple subscription to prevent renewal. Your license can terminate automatically for a material breach. Termination does not let us inspect or delete your local material, cancel an Apple subscription for you, or erase rights and obligations that accrued earlier.

These Terms may be updated to reflect product, provider, security, or legal changes. A new effective date will be shown, and additional notice or consent will be provided where required. Continued use after the effective date means you accept the updated Terms, except where a different consent is required by law.

16. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available,” with all faults. JTR Labs LLC disclaims express, implied, and statutory warranties, including merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, title, and non-infringement.

No warranty is made that the Service will be uninterrupted, error-free, secure, compatible with every source or device, or free from data loss. No warranty is made about extracted text, OCR, transcripts, source spans, model output, answers, grading, recommendations, mastery estimates, schedules, or outcomes.

Some jurisdictions do not permit certain exclusions. This section applies only to the extent permitted and does not limit mandatory consumer rights.

17. Limitation of liability

To the maximum extent permitted by law, JTR Labs LLC and its owners, personnel, affiliates, licensors, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, material, academic opportunity, grades, profits, goodwill, or business arising from the Service, even if the possibility was disclosed.

Except for liability that cannot lawfully be limited, our aggregate liability for claims relating to the Service will not exceed the greater of (a) the amounts you paid to Apple for Vesper Pro in the twelve (12) months before the claim or (b) fifty U.S. dollars (USD $50).

These limits do not apply to liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law. Nothing in these Terms limits rights you have as a consumer that cannot be waived.

18. Indemnification

To the extent permitted by law, you will defend and indemnify JTR Labs LLC and its members, employees, and contractors against claims, damages, and reasonable legal fees arising from your User Materials, your breach of these Terms, or your misuse of the Service, including unauthorized recording or copyright infringement. This does not require you to indemnify us for our own willful misconduct where that obligation would be unenforceable.

19. Disputes and general terms

Before formal proceedings, you and JTR Labs should make a good-faith effort to resolve a dispute by writing to [email protected]. This does not prevent urgent relief, compliance with a filing deadline, use of small claims, or a consumer complaint process.

These Terms are governed by the laws of the United States and the state in which JTR Labs LLC is organized, without regard to conflict-of-law principles, except that they will not deprive a consumer of mandatory protections or an available forum in the consumer’s place of residence. No arbitration provision or class-action waiver is included.

If a provision is unenforceable, it will be enforced as far as permitted and the remainder will continue. Failure to enforce a term is not a waiver. You may not assign these Terms without consent; we may assign them with the Service in a transaction, subject to law.

These Terms, the Privacy Policy, Apple’s confirmed purchase disclosures, the applicable App Store license, and feature-specific terms form the agreement concerning the Service. Apple’s confirmed price, period, and trial disclosure controls that purchase if it conflicts with general Site copy.
